Terms and Conditions

These Terms govern your access to and use of the products, websites, and services operated by Aico Labs s.r.o., a company registered in the Commercial Register of the District Court Nitra, Section Sro, Insert No. 69860/N.

1. Definitions

"Service" refers to the Aico platform, including Aico Ops, Aico Extract, and Aico Store, together with any related APIs, dashboards, and documentation made available through aicolabs.io or any sub-domain we operate.

"Customer" refers to the legal entity that enters into a service agreement with us for the deployment, operation, or integration of the Service.

"User" refers to any individual authorised by the Customer to access the Service on behalf of that Customer.

"End User" refers to any natural person whose data is uploaded to or processed through the Service, including candidates, applicants, or counterparties in a process run on the platform.

2. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding agreement with us. If you accept these Terms on behalf of an organisation, you confirm that you have the authority to bind that organisation to them.

3. Account and access

Access is granted per organisation. Each organisation receives persistent session credentials issued through our Better Auth backbone. You are responsible for safeguarding your credentials and for any activity under your account.

We may suspend or terminate access where we reasonably believe a security incident has occurred, where a Customer fails to meet its payment obligations, or where you are in material breach of these Terms.

4. The Service

Aico Ops runs deterministic operational workflows for our Customers. Aico Extract turns structured intake into processed data and documents. Aico Store provides long-lived storage of generated artefacts under the Customer's own control.

The Service is operated as software-as-a-service. The web application is hosted on Vercel and runs against a Convex Cloud backend. Outputs generated through a process are delivered to the Customer that owns the process. We do not take ownership of your data and we do not use it to train third-party models.

5. Customer data and processing

We act as data processor for the personal data that Customers and their End Users upload to or generate through the Service. Our role as data processor, and the controls that apply to that role, are described in our Privacy Policy.

Each Customer is the data controller for data it submits and remains responsible for the lawful basis on which it does so.

6. Fees and payment

Fees are stated in the order form or written quotation we agreed with you. Fees are exclusive of VAT unless otherwise stated. Invoices are due within 14 days of issue unless otherwise agreed in writing.

Card payments are processed by Stripe Payments Europe Ltd., our EEA payment processor. Card data is handled by Stripe directly; we do not store full payment card numbers on our infrastructure.

7. Intellectual property

We retain all intellectual property rights in the Service itself, in the source code we operate, in our documentation, and in the Aico name and marks.

You retain all rights in the data you submit to the Service and in the outputs generated by the Service on your instructions. We retain no rights in either and claim no derivative interest.

8. Warranties and disclaimers

We provide the Service with reasonable skill and care. Except as expressly set out in these Terms, the Service is provided "as is" and we make no additional warranties of any kind, express or implied.

In particular, the outputs of a process are not legal instruments until and unless they are independently verified or authorised by a notary, an attorney, or a qualified electronic signature provider as required by the law that applies to the document in question.

9. Limitation of liability

To the maximum extent permitted by law, neither party will be liable to the other for indirect, incidental, or consequential damages. Each party's aggregate liability under these Terms is capped at the fees paid by the Customer in the twelve (12) months preceding the event giving rise to the claim.

10. Termination

Either party may terminate these Terms on written notice if the other party materially breaches them and does not remedy that breach within 30 days of being notified. Either party may also terminate for convenience on 30 days' written notice.

11. Changes

We may update these Terms from time to time. Material changes will be announced at least 30 days before they take effect. Continued use of the Service after the effective date of a change constitutes acceptance of the updated Terms.

12. Governing law

These Terms are governed by the laws of the Slovak Republic. Any dispute will be resolved by the courts of the Slovak Republic having local jurisdiction over our registered seat, unless mandatory consumer law of another jurisdiction provides otherwise.
